Nigeria’s Dangote Petroleum Refinery has secured a $1 billion underwriting programme as it advances plans for a major public offering that could become one of the largest initial public offerings (IPO) in Africa.
The latest financing support comprises a fully funded $600 million tranche linked to a completed private placement, alongside an additional $400 million connected to the planned IPO, according to financial advisers involved in the transaction.
The development represents a significant step in the refinery’s broader strategy to attract long-term investment and strengthen its financial position as it expands operations and seeks to deepen its presence in regional and international petroleum markets.
The $20 billion refinery, located near Lagos and majority-owned by Aliko Dangote, has a processing capacity of about 700,000 barrels of crude oil per day, making it one of the largest single-train refineries in the world.
Strong Investor Interest
The latest underwriting arrangement follows an earlier private-placement exercise through which the refinery sought to raise about $1 billion.
Under that transaction, the company offered three billion ordinary shares at $0.35 each, implying a valuation of approximately $39.1 billion. Reports indicated that investor demand exceeded $2 billion, pointing to significant interest in the refinery among prospective investors.
The funds are expected to support expansion and general corporate purposes as the refinery continues to ramp up production and strengthen its logistics, storage and distribution infrastructure.
The private placement has also been viewed as an important step towards broadening the refinery’s investor base ahead of a potential public listing.
IPO Plans
The refinery’s proposed IPO is expected to provide an opportunity for a wider range of investors to gain exposure to one of Nigeria’s most significant industrial assets.
Reuters reported that the company had recently applied for a $5 billion IPO with Nigeria’s Securities and Exchange Commission (SEC), with plans for the shares to be listed on the Nigerian capital market, subject to regulatory approval.
The proposed listing is attracting attention because of the size of the refinery and its strategic importance to Nigeria’s energy sector.
However, investors should distinguish between the completed or proposed private-placement transactions and the eventual public IPO. In June, the SEC warned against unauthorised promotions of purported Dangote Refinery pre-IPO offerings and advised investors to rely on official, SEC-approved information.
Refinery Expands Regional Role
The fundraising comes as the Dangote Refinery continues to expand its role in supplying refined petroleum products to Nigeria and international markets.
The facility has increased production of products including diesel, aviation fuel, naphtha and petrol, helping to reduce Nigeria’s dependence on imported refined petroleum products.
Recent disruptions in global crude and refined-product markets have also increased attention on the refinery’s ability to supply fuel to markets in Africa and beyond. Reuters reported that the facility has exported jet fuel to regional markets and Europe, further strengthening its international profile.
The refinery is also considering further expansion of its operations as part of Dangote Industries’ wider investment plans.
With the new underwriting support, strong investor interest and preparations for a possible IPO, the Dangote Refinery is positioning itself for a new phase of expansion and broader participation in the capital market.
If regulatory approvals are secured and the proposed listing proceeds, the transaction could mark a major milestone for Nigeria’s capital market and provide international and domestic investors with greater access to one of Africa’s largest industrial projects.
